Shareholders' Agreements

This Shareholders' Agreement, dated 29 April 2010, regulates the relations between the shareholders of the company as co-investors and their relation with the company. The Agreement was deposited at the Commercial Registry of Madrid as of 11 May 2010.

On 9 July 2010, pursuant to the demerger of Amadelux Investments S.à.r.l. effective as of the same date, the resulting companies Amadecin S.à.r.L and Idomeneo S.à.r.l. subscribed to the aforementioned Shareholders' Agreement.

On 6 July 2011, as a consequence of the accelerated book building of Amadeus IT Holding, S.A. shares addressed to qualified investors and carried out by Amadecin S.à.r.l. and Idomeneo S.à.r.l. (registration number with the CNMV 146912), and following the provisions of the Shareholders' Agreement of 29 April 2010, having decreased their respective holding in Amadeus below 3.5%, the aforementioned entities, Amadecin S.à.r.l. and Idomeneo S.à.r.l., exercised the right to terminate their participation in the Shareholders' Agreement. As of the current date both entities have sold their entire holding.

Deutsche Lufthansa AG and Malta Pension Investments entered into an Agreement of 7 December 2012 (registration number with the CNMV 178604) by which Deutsche Lufthansa AG reserves the faculty to exercise the contractual rights of the signatory shareholders of the Relationship Agreement of Amadeus IT Holding, S.A. of 29 April 2010 (registration number with the CNMV 124400), mainly, the appointment of a Director at the Board of Amadeus IT Holding, S.A., within the terms and conditions of the Relationship Agreement.
